1. Agreement to Terms
By accessing or using RapidStackLab's website (www.rapidstacklab.com) and services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you may not access our website or use our services.
2. Services
RapidStackLab provides IT consulting and development services, including but not limited to:
- Website design and development
- Full-stack web application development
- Mobile application development (iOS & Android)
- Business automation and workflow solutions
- AI solutions and chatbot development
- DevOps and cloud infrastructure services
- Technical consulting and support
3. Project Engagement
3.1 Quotations and Proposals
All quotations and proposals are valid for 30 days from the date of issue unless otherwise specified. Pricing is subject to change based on project scope modifications.
3.2 Project Scope
The project scope, deliverables, timeline, and pricing will be defined in a separate project agreement or statement of work. Any changes to the agreed scope may result in additional charges and timeline adjustments.
3.3 Client Responsibilities
Clients are responsible for:
- Providing accurate project requirements and necessary materials
- Timely feedback and approvals
- Access to required systems, accounts, and credentials
- Payment according to agreed terms
4. Payment Terms
4.1 Payment Structure
Unless otherwise agreed, projects follow this payment structure:
- 50% advance payment to commence work
- 50% upon project completion and delivery
For larger projects, milestone-based payments may be agreed upon.
4.2 Payment Methods
We accept payments via bank transfer, UPI, credit/debit cards, and other methods as agreed. All prices are quoted in Indian Rupees (INR) or US Dollars (USD) as specified.
4.3 Late Payments
Invoices are due within 7 days of issue unless otherwise specified. Late payments may incur interest charges and may result in suspension of services until payment is received.
4.4 Refunds
Advance payments are non-refundable once work has commenced. Refund requests will be evaluated on a case-by-case basis for work not yet started.
5. Intellectual Property
5.1 Ownership
Upon full payment, the client owns the final deliverables created specifically for their project. RapidStackLab retains ownership of any pre-existing materials, frameworks, libraries, and tools used in the project.
5.2 Portfolio Rights
RapidStackLab reserves the right to showcase completed projects in our portfolio, case studies, and marketing materials unless a non-disclosure agreement specifies otherwise.
5.3 Third-Party Components
Projects may include third-party libraries, frameworks, and services subject to their respective licenses. Clients are responsible for compliance with these licenses.
6. Warranties and Support
6.1 Warranty Period
We provide free bug fixes and technical support for 1-3 months after project delivery (as specified in the project agreement). This covers issues arising from our development work, not changes in requirements or third-party service failures.
6.2 Maintenance Services
Ongoing maintenance, updates, and feature additions beyond the warranty period are available under separate maintenance agreements.
6.3 Disclaimer
Services are provided "as is" without warranties of any kind, express or implied. We do not guarantee uninterrupted or error-free operation of delivered solutions.
7. Limitation of Liability
To the maximum extent permitted by law, RapidStackLab shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability shall not exceed the amount paid by the client for the specific service giving rise to the claim.
8. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the project. This obligation survives the termination of the project agreement. Confidential information does not include information that is publicly available or independently developed.
9. Project Delays and Cancellation
9.1 Delays
Project timelines are estimates. Delays caused by client feedback, scope changes, or third-party dependencies may extend delivery dates. We will communicate any anticipated delays promptly.
9.2 Cancellation by Client
Clients may cancel projects with written notice. Advance payments are non-refundable, and clients will be invoiced for work completed up to the cancellation date.
9.3 Cancellation by RapidStackLab
We reserve the right to terminate projects for non-payment, breach of terms, or if the client's requests are unreasonable or unethical.
10. Third-Party Services
Projects may require third-party services (hosting, APIs, payment gateways, etc.). Clients are responsible for costs, terms, and compliance with these services. RapidStackLab is not liable for third-party service failures or changes.
11. Indemnification
Clients agree to indemnify and hold RapidStackLab harmless from any claims, damages, or expenses arising from: (a) client's use of delivered services, (b) violation of these terms, (c) infringement of third-party rights, or (d) content provided by the client.
12. Governing Law
These Terms and Conditions are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in [Your City/State], India.
13. Changes to Terms
We reserve the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting on our website. Continued use of our services constitutes acceptance of the updated terms.
14. Severability
If any provision of these Terms and Conditions is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
